Terms & Conditions
for Sponsors

Last updated: 27 July 2026

1. Scope, Definitions and Acceptance

1.1 These Sponsorship & Exhibition Terms and Conditions ("Sponsor Terms") govern all sponsorship, exhibition and industry participation arrangements for the Ophthalmology24 Bootcamp 2026 (the "Event") organized by Ophthalmology 24 OOD (the "Organizer", "we", "us").

1.2 In these Sponsor Terms:

  • "Sponsor" means any company, institution or organization that has booked a sponsorship package, exhibition space or other industry participation at the Event;

  • "Sponsorship Package" means the tier and deliverables confirmed in writing by the Organizer (Diamond, Platinum, Gold, Silver or a bespoke package);

  • "Sponsor Personnel" means the Sponsor's employees, agents, contractors, distributors and other representatives attending the Event on the Sponsor's behalf;

  • "Sponsor Equipment" means any instrument, device, consumable, furniture or other material provided by the Sponsor for use at the Event.

1.3 These Sponsor Terms apply exclusively. Any general terms of business of the Sponsor do not apply, even where the Organizer performs without objecting to them. Deviations are binding only where confirmed by the Organizer in writing.

1.4 Sponsorship contracts are concluded exclusively with businesses, public bodies and institutions acting in the course of their trade or profession. Consumer withdrawal rights do not apply.

1.5 Individuals attending on complimentary Sponsor passes participate as attendees and are additionally bound by the Participant Terms & Conditions published at www.ophthalmology24bootcamp.com/terms-and-conditions.

2. The Event

2.1 The Event is a one-day, hands-on ophthalmic training program consisting exclusively of wetlab, drylab and surgical simulation sessions.

2.2 The Sponsor acknowledges that:

  • no lectures or theoretical sessions form part of the program;

  • no live patients are involved and no clinical procedures or treatments are performed;

  • no animal tissue is used; all training is conducted on artificial models, simulators and training microscopes.

2.3 Attendance is limited to approximately 60 registered participants plus mentors, faculty, staff and industry representatives. The Organizer does not warrant any specific number of attendees, attendee profile, lead volume or commercial outcome, and any figures given in promotional material are non-binding estimates.

3.2 The binding scope of the Sponsorship Package is the one set out in the Organizer's written confirmation. Where that confirmation and this table differ, the written confirmation prevails.

3.3 Descriptive terms such as "medium stand", "small booth", "premium visibility" and "priority placement" are defined by the Organizer in the exhibitor manual issued in advance of the Event. The Organizer will apply them consistently across Sponsors of the same tier.

3.4 Booth and stand positions are allocated by the Organizer at its reasonable discretion, taking account of tier, availability, date of booking and the operational requirements of the training stations. No Sponsor acquires a right to a specific position.

3.5 Sponsorship is non-exclusive. Unless separate written category exclusivity has been agreed and paid for, the Organizer may accept sponsors that compete with the Sponsor, including within the same product category and the same lab zone.

3.6 Where a deliverable becomes impossible or disproportionately burdensome for reasons outside the Organizer's control — for example a venue restriction on stand size, or the cancellation of the aftermovie production — the Organizer will provide a substitute deliverable of equivalent value. This does not entitle the Sponsor to a reduction or refund.

4. Application, Confirmation and Formation of Contract

4.1 Sponsorship enquiries and bookings are handled by email at info@ophthalmology24.com. The Event website is used for attendee registration only.

4.2 A sponsorship application by the Sponsor constitutes a binding offer. The contract is formed only when the Organizer issues a written booking confirmation by email. Verbal or telephone arrangements are not binding unless confirmed in writing by the Organizer.

4.3 The Organizer may decline any application at its discretion and without stating reasons, in particular where the Sponsor's products, activities or communications are incompatible with the educational, non-promotional character of the Event or with applicable advertising law.

4.4 Sponsorship rights are personal to the Sponsor. The Sponsor may not assign, sublet, share or otherwise transfer its Sponsorship Package, booth space or passes to a third party — including affiliates, distributors and co-exhibitors — without the Organizer's prior written consent. Consent may be made conditional on a co-exhibitor fee.

5. Fees, Invoicing, VAT and Payment

5.1 All fees are stated in Euro and exclusive of value added tax. VAT is added at the applicable statutory rate, or the supply is invoiced under the reverse-charge procedure where the statutory conditions are met and the Sponsor has supplied a valid VAT identification number before invoicing.

5.2 The Organizer may issue invoices under either its Bulgarian or its German VAT identification number, depending on the nature of the supply and the applicable place-of-supply rules. The Sponsor is responsible for supplying complete and accurate billing details, VAT identification number and any purchase-order reference before invoicing.

5.3 The full fee is invoiced on confirmation of the booking and is payable within 14 days of the invoice date, and in any event in full before the first day of the Event.

5.4 The Organizer may withhold booth access, badges, branding placement and all other deliverables until the fee has been received in full. Doing so does not release the Sponsor from payment.

5.5 In case of late payment the Organizer is entitled to statutory default interest and to the statutory lump sum for recovery costs. The Sponsor may set off only claims that are undisputed or have been finally determined by a court.

5.6 Costs not included in the Sponsorship Package — including travel, accommodation, shipping, customs, stand construction beyond the standard provision, additional furniture, power beyond the standard supply, additional passes and any co-exhibitor fee — are borne by the Sponsor.

6. Cancellation, Reduction and Postponement by the Sponsor

6.1 Cancellations and reductions must be submitted in writing to info@ophthalmology24.com and take effect on the date the Organizer receives them.

6.2 The following cancellation fees apply, calculated on the total confirmed fee:

Cancellation fee

  • 120 to 61 days before the Event 50%

  • 60 days or fewer before the Event, or no-show 100%

6.3 The same scale applies to a partial cancellation, to a downgrade of tier and to any reduction of booked booth space, calculated on the value of the reduced portion.

6.4 The Sponsor is entitled to demonstrate that the Organizer suffered no loss, or a materially lower loss, than the applicable lump sum; in that case the lower amount is payable. The Organizer is entitled to demonstrate a higher actual loss.

6.5 At the Organizer's discretion and as a goodwill measure only, a cancelling Sponsor may be offered a credit of the amount paid against a sponsorship of the following edition of the Bootcamp. Any such credit is at the Organizer's sole discretion and creates no entitlement.

6.6 A Sponsor that fails to occupy its allocated space by the time stated in the exhibitor manual is treated as a no-show under §6.2, and the Organizer may reallocate the space without compensation.

7. Changes, Postponement and Cancellation by the Organizer; Force Majeure

7.1 The Organizer may modify the program, schedule, faculty, lab structure, equipment, session formats, floor plan and stand allocation where reasonably necessary. Such changes do not entitle the Sponsor to a reduction, refund or damages, provided the overall value of the Sponsorship Package is substantially preserved.

7.2 Where circumstances beyond the Organizer's reasonable control — including epidemic or pandemic, official measures and public-law restrictions, war, terrorism, civil unrest, natural events, fire, strike, failure of the venue, energy or transport failure, or insufficient registrations — make the Event impossible, unlawful or unreasonable to hold as planned, the Organizer may postpone, relocate, modify or cancel the Event.

7.3 On postponement or relocation, the Sponsorship Package transfers to the new date or venue with the same deliverables. The Sponsor may terminate within 14 days of notification, in which case §7.4 applies. The Organizer does not reimburse travel, accommodation, shipping, staffing or other costs incurred by the Sponsor.

7.4 On cancellation, the Organizer will refund fees received after deducting a proportionate share of the costs already incurred for the Event, which are borne pro rata by all sponsors and participants. Further claims are excluded, save where the Organizer is liable under §17.

7.5 The Organizer is not liable for the Sponsor's travel, accommodation, visa, shipping, staffing, marketing or production costs, nor for lost profit or lost commercial opportunity, arising from any change, postponement or cancellation.

8. Sponsor Equipment, Instruments and Loaned Materials

8.1 Where the Sponsorship Package includes the provision of instruments, devices or equipment, the Sponsor delivers Sponsor Equipment in full working order, complete with all accessories, consumables and instructions required for use, by the delivery deadline stated in the exhibitor manual. The scope and specification of Sponsor Equipment are agreed in writing in advance.

8.2 The Sponsor warrants that all Sponsor Equipment:

  • bears valid CE marking or is otherwise lawfully placed on the market in the European Union, and complies with Regulation (EU) 2017/745 (MDR) and all other applicable regulatory requirements;

  • is safe for the intended training use on artificial models and has been serviced, cleaned and, where applicable, sterilized or reprocessed;

  • is free of third-party rights that would prevent its use at the Event.

8.3 Any equipment that is investigational, not CE-marked, a prototype, or intended to be used outside its approved purpose must be disclosed to the Organizer in writing in advance and may be used only with the Organizer's prior written consent and subject to any conditions the Organizer imposes, including labelling and supervision requirements.

8.4 Sponsor Equipment remains the property of the Sponsor at all times. Title does not pass to the Organizer.

8.5 Risk and insurance. Sponsor Equipment is at the Sponsor's risk throughout transport, delivery, set-up, the Event, dismantling and collection. The Sponsor insures its own equipment against loss, theft and damage, including damage caused by third parties on site, and shall procure that its insurer waives any right of recourse against the Organizer and the venue except in cases of intent or gross negligence.

8.6 The Organizer provides no storage, security or safekeeping obligation in respect of Sponsor Equipment and is not liable for loss of or damage to Sponsor Equipment, save under §17.

8.7 The Sponsor provides, at its own cost, any qualified personnel required to install, calibrate, supervise, operate and dismantle Sponsor Equipment, and instructs the Organizer's staff and mentors in its safe use where the equipment is to be operated by others.

8.8 The Sponsor removes all Sponsor Equipment and its own waste by the end of the dismantling period. Items not collected may be stored or disposed of at the Sponsor's cost and risk after prior notice.

8.9 If Sponsor Equipment is not delivered on time, is incomplete, or does not meet the agreed specification, the Organizer may, after setting a short remedy period where practicable, procure substitute equipment at the Sponsor's cost, reduce the Sponsorship Package accordingly, or terminate the sponsorship. In each case the fee remains payable and the Organizer's further claims are reserved.

8.10 The Sponsor indemnifies the Organizer against third-party claims arising from a defect in Sponsor Equipment, from its non-compliance with regulatory requirements, or from its improper installation or instruction by the Sponsor.

9. Regulatory, Advertising and Compliance Obligations

9.1 The Sponsor is responsible for ensuring that all of its promotional activity, product information, materials and communications at or in connection with the Event comply with all applicable law and industry codes, including the German Act on Advertising in the Field of Healthcare (Heilmittelwerbegesetz, HWG), the German Act against Unfair Competition (UWG), Regulation (EU) 2017/745, and the MedTech Europe and, where applicable, EFPIA codes of ethical business practice.

9.2 The Sponsor is solely responsible for any transparency, disclosure or reporting obligations that apply to it in respect of transfers of value to healthcare professionals in connection with the Event, including any support of mentors, faculty or participants.

9.3 The Sponsor shall not offer, promise or grant any benefit to participants, mentors, faculty or the Organizer's staff that would be capable of improperly influencing a procurement, prescribing or clinical decision. Both parties comply with applicable anti-bribery and anti-corruption law.

9.4 The Organizer's acceptance of sponsorship does not constitute an endorsement, recommendation or clinical validation of the Sponsor, its products or its services, and the Sponsor shall not represent otherwise.

10. Separation of Promotion and Education

10.1 The educational content, curriculum, station design, faculty selection and mentor appointments of the Event are determined solely by the Organizer. Sponsorship confers no right to influence them.

10.2 The Sponsor shall not brief, instruct or remunerate mentors or faculty in respect of the content they deliver at the Event without the Organizer's prior written agreement.

10.3 Any product demonstration, sponsored station or promotional activity is clearly identified as such and takes place only in the areas and at the times designated by the Organizer.

10.4 Promotional activity must not disrupt the training sessions. This includes noise, amplified sound, aisle obstruction, roaming distribution of materials and approaching participants during active lab sessions.

11. Exhibition Space, Build-up, Dismantling and Venue Rules

11.1 Build-up, opening and dismantling times, permitted stand dimensions and heights, power supply, load limits, rigging, and access routes are set out in the exhibitor manual and in the house rules of Studio B10, which the Sponsor and its Sponsor Personnel are required to observe.

11.2 The Sponsor may use only the space allocated to it. Nothing may be affixed to walls, floors, ceilings, glazing or fixtures without prior written consent.

11.3 The Sponsor must observe all fire safety, escape route, electrical safety and occupational safety requirements of the venue and the responsible authorities. Materials used in stand construction must satisfy the venue's fire classification requirements.

11.4 The Sponsor returns the allocated space in its original condition and is liable for any damage to the venue, its fixtures or its equipment caused by the Sponsor, Sponsor Personnel or Sponsor Equipment.

11.5 The Organizer may require the immediate removal or modification of any stand element, material or activity that breaches these Sponsor Terms, the exhibitor manual, the venue rules or applicable law, at the Sponsor's cost.

12. Sponsor Personnel, Passes and Access

12.1 Complimentary passes included in the Sponsorship Package must be registered with the Organizer, with full names, by the deadline stated in the exhibitor manual. Passes are personal, non-transferable and non-refundable, and hold no cash value.

12.2 Additional Sponsor Personnel require additional passes at the applicable rate.

12.3 Access is restricted to registered attendees, registered Sponsor Personnel, mentors, faculty, authorized staff and accredited media. Badges must be worn visibly at all times.

12.4 All Sponsor Personnel are bound by the Participant Terms & Conditions, the safety instructions of the Organizer's staff and mentors, and the venue rules.

12.5 The Organizer may refuse or withdraw access from any person who breaches these Sponsor Terms, behaves unsafely, disruptively or abusively, or fails to comply with the Event's safety or organizational requirements. No refund arises.

13. Intellectual Property and Trademark Licences

13.1 Licence granted by the Sponsor. The Sponsor grants the Organizer a non-exclusive, royalty-free, worldwide licence to use the Sponsor's name, logo, trademarks and approved product images for the purpose of promoting, delivering and documenting the Event — including on the event website, in printed and digital event materials, in social media content, in the aftermovie and in post-event recaps. This licence continues after the Event for archival, retrospective and historical reference to the 2026 edition.

13.2 The Sponsor warrants that it holds the rights necessary to grant this licence and shall supply usable brand assets by the deadline in the exhibitor manual. The Organizer is not obliged to remedy late, low-resolution or non-conforming assets, and print deadlines are final.

13.3 Licence granted by the Organizer. The Organizer grants the Sponsor a non-exclusive, non-transferable, royalty-free licence to use the Event name and logo solely to publicize its own participation in the Event, for the period beginning on booking confirmation and ending six months after the Event. Every use requires the Organizer's prior written approval of the specific material, which shall not be unreasonably withheld or delayed.

13.4 The Sponsor shall not use the Event name or logo in a way that suggests endorsement of its products, co-organization of the Event, or any affiliation beyond its actual sponsorship tier.

13.5 All other content, materials, branding and educational resources connected with the Event remain the property of the Organizer or its respective owners.

14. Media, Photography and Recording

14.1 Photography, audio and video recording take place throughout the Event for documentation, educational, promotional and marketing purposes. The Sponsor acknowledges that its stand, branding, equipment and Sponsor Personnel may appear in such material, and the Organizer may use it worldwide, non-exclusively and without compensation.

14.2 The Sponsor is responsible for obtaining any consents required from its own Sponsor Personnel for such appearances.

14.3 The Sponsor may photograph and film its own stand and personnel. Filming or photographing training stations, participants, mentors or other exhibitors requires the Organizer's prior written consent and, where individuals are identifiable, their consent.

14.4 The Sponsor shall not livestream, broadcast or publish recordings of educational sessions without the Organizer's prior written consent.

15. Data Protection

15.1 Each party is an independent controller in respect of the personal data it processes in connection with the Event. Neither party processes personal data on behalf of the other unless a separate agreement under Article 28 GDPR is concluded.

15.2 The Organizer processes the contact data of Sponsor Personnel for the purposes of contract performance, accreditation, access control, logistics and communication, in accordance with its Privacy Policy.

15.3 The Organizer does not sell, rent or otherwise transfer attendee lists to Sponsors. Attendee personal data is made available to a Sponsor only where the attendee has given explicit consent, has voluntarily engaged with the Sponsor, or where the transfer is necessary for the attendee's participation in a specific sponsored activity.

15.4 Where the Sponsor collects personal data at the Event — by badge scan, business card, prize draw, sign-up sheet or otherwise — the Sponsor acts as an independent controller and is solely responsible for establishing a lawful basis, providing information to data subjects, honouring their rights and complying with the GDPR and applicable direct marketing law.

15.5 The Sponsor shall not use data collected at the Event for unsolicited marketing where this is not permitted, and indemnifies the Organizer against claims arising from the Sponsor's own data processing.

16. Insurance

16.1 The Sponsor shall maintain, for the entire period of build-up, the Event and dismantling, business/public liability insurance covering personal injury and property damage, together with product liability cover appropriate to the equipment and products it brings to the Event.

16.2 The Sponsor shall provide evidence of such cover on the Organizer's request.

16.3 The Sponsor is responsible for insuring its own equipment, goods, exhibits and personnel, including transport, and for the travel and health insurance of Sponsor Personnel.

17. Liability

17.1 The Organizer is liable without limitation for damage arising from injury to life, body or health, for intent and gross negligence, under the Product Liability Act, and to the extent it has given a guarantee.

17.2 In the case of slight negligence, the Organizer is liable only for breach of a material contractual obligation — an obligation whose fulfilment is essential to the proper performance of the contract and on whose observance the Sponsor may regularly rely — and in that case only for the foreseeable damage typical of this type of contract.

17.3 Subject to §17.1, the Organizer's aggregate liability under or in connection with a sponsorship is limited to the total fee paid by the Sponsor for that sponsorship.

17.4 Subject to §17.1, the Organizer is not liable for loss of profit, loss of commercial opportunity, loss of anticipated leads or sales, reputational harm, or other indirect or consequential loss.

17.5 The Organizer is not liable for loss of or damage to Sponsor Equipment, exhibits, stand materials or personal property, whether during build-up, the Event or dismantling, save under §17.1.

17.6 The Sponsor is liable for damage caused by Sponsor Personnel, Sponsor Equipment or its stand construction to the venue, to the Organizer's property or to third parties, and indemnifies the Organizer against corresponding third-party claims.

17.7 Nothing in these Sponsor Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law.

18. Conduct and Removal

18.1 The Organizer is committed to a respectful, professional, safe and inclusive educational environment. Sponsor Personnel shall behave professionally toward attendees, mentors, faculty, staff, other exhibitors and venue personnel, and shall not engage in harassment, discrimination, intimidation or disruptive conduct.

18.2 Serious or repeated breach of these Sponsor Terms, of the exhibitor manual, of the venue rules or of §18.1 entitles the Organizer to close the Sponsor's stand, remove Sponsor Personnel from the Event and terminate the sponsorship with immediate effect. The fee remains payable in full and no refund arises. Further claims by the Organizer are reserved.

19. Confidentiality

19.1 Each party keeps confidential all non-public commercial information of the other disclosed in connection with the sponsorship, including fee arrangements, floor plans, attendee numbers and negotiation correspondence, and uses it only for the purposes of the contract. The obligation survives the Event by three years.

19.2 Neither party shall issue a press release about the sponsorship naming the other without that party's prior written approval, save that each party may publicly and factually state that the Sponsor is a sponsor of the Event at its confirmed tier.

20. Amendments and Final Provisions

20.1 The Organizer may amend these Sponsor Terms with effect for future bookings. Amendments affecting an existing sponsorship take effect only where they are reasonable for the Sponsor and are notified in writing; the Sponsor may object within 14 days of notification.

20.2 Amendments and supplements to an individual sponsorship contract require text form. This applies equally to any waiver of the text-form requirement.

20.3 The exhibitor manual, the venue rules and the Organizer's Privacy Policy form part of the contract. Where they conflict with these Sponsor Terms, these Sponsor Terms prevail, except in matters of safety, where the stricter provision applies.

20.4 If any provision is or becomes invalid or unenforceable, the validity of the remaining provisions is unaffected. The invalid provision is replaced by a valid provision that comes closest to its commercial purpose.

20.5 These Sponsor Terms, together with the Organizer's written booking confirmation, constitute the entire agreement between the parties in respect of the sponsorship and supersede all prior representations and arrangements.

21. Governing Law and Jurisdiction

21.1 These Sponsor Terms and all contracts concluded under them are governed by the law of GERMANY, excluding the United Nations Convention on Contracts for the International Sale of Goods and the rules of private international law.

21.2 The exclusive place of jurisdiction for all disputes arising out of or in connection with the sponsorship is GERMANY, provided the Sponsor is a merchant, a legal entity under public law or a special fund under public law. The Organizer may also sue at the Sponsor's general place of jurisdiction.
